Our intermediary activities consist of, but are not limited to, certain market-entry and/or go-to-market services such as accounting, banking, employee housing, governmental support, HR advisory, IT&TEL support, legal, office space solutions, payroll, private schooling, social and business networks, etc.

1. Applicability

These Terms & Conditions apply exclusively to businesses using services offered by Hubstance Netherlands B.V. (“Hubstance”, “we”, or “us”) via www.hubstance.eu, email, LinkedIn, or other communication channels, including contact initiated by the business itself or via a third-party service provider. A “business” refers to an entity registered with a Chamber of Commerce or equivalent authority, excluding individual consumers. By contacting us, registering, submitting an inquiry, or engaging with our platform, you agree to these Terms. These Terms apply to businesses worldwide, subject to Dutch law as per Section 9.

2. Services of Hubstance

2.1. Hubstance acts solely as an independent intermediary, connecting businesses with third-party providers offering services such as accounting, banking, employee housing, governmental support, HR advisory, IT&TEL support, legal, office space solutions, payroll, private schooling, social and business networks, etc. to support market-entry and go-to-market needs.
2.2. Hubstance is not a party to agreements between you and third-party providers. You are responsible for ensuring compliance with applicable regulations, particularly for services like banking or payroll.
2.3. Hubstance selects third-party providers based on their professional qualifications and market relevance but does not guarantee their performance. Referral arrangements do not affect Hubstance’s independence in introducing businesses to providers.

3. Use of the Website and Information

3.1. Information on our website is provided with care but without guarantees of accuracy, completeness, or timeliness. You are responsible for verifying information before relying on it.
3.2. Hubstance strives to ensure reliable website access but does not guarantee uninterrupted or error-free operation. Hubstance is not a tax or legal advisor. For setting up a business in any jurisdiction, consult a qualified professional. All information on our website is publicly available.
3.3. Hubstance is not responsible for the accuracy or legality of third-party content, such as service provider listings.
3.4. Hubstance aims to ensure website accessibility in line with industry standards.

4. Agreements with Third Parties

4.1. Agreements are concluded solely between you and the third-party provider. Hubstance facilitates introductions to providers based on your business needs and provider availability.
4.2. Hubstance is not liable for the performance or quality of third-party services.
4.3. Disputes with providers must be resolved directly with them. Hubstance may, at its discretion, provide limited assistance, such as contact referrals.
4.4. Hubstance may verify basic provider credentials (e.g., Chamber of Commerce registration), but you remain responsible for conducting due diligence, including for services like bank account setup or payroll.

5. Liability

5.1. Hubstance is only liable for direct damages that are the direct result of an attributable shortcoming by Hubstance in performing its intermediary role.
5.2. Any liability of Hubstance is strictly limited to the amount of referral fees or other compensation actually received by Hubstance in connection with the specific introduction that gave rise to the claim. If no such referral fee or compensation was received, Hubstance shall bear no liability whatsoever.
5.3. Hubstance is not liable for indirect damages, including but not limited to loss of profit, loss of data, or reputational damage.
5.4. Hubstance is not liable for delays or failures due to events beyond our reasonable control, such as technical failures, natural disasters, or regulatory changes.
5.5. Hubstance is not liable for any damages arising from the actions or omissions of third-party providers.

6. Fees

6.1. Hubstance does not charge businesses for its intermediary services.
6.2. Hubstance receives referral fees or commissions from third-party providers. These arrangements do not affect Hubstance’s independence or objectivity in introducing businesses to providers.
6.3. Any fees for third-party services, such as office space or payroll, are agreed upon directly between you and the provider.

7. Intellectual Property

7.1. All website content (e.g., texts, images, logos) is owned by Hubstance or its licensors. Unauthorized use is prohibited without our written consent.
7.2. By submitting content to our platform (e.g., business profiles or inquiries), you grant Hubstance a non-exclusive, royalty-free license to use, display, and store such content for providing our intermediary services. You retain ownership of any content submitted.
7.3. Hubstance is not responsible for intellectual property infringements by third-party providers, such as unauthorized use of logos or content.

8. Data Protection

Hubstance processes personal data (e.g., contact details, business preferences) of business representatives in accordance with the GDPR to facilitate introductions to third-party providers. We may share such data with providers, as detailed in our Privacy Policy. Data is retained only as necessary and secured appropriately.

9. Governing Law and Jurisdiction

9.1. These Terms are governed by Dutch law.
9.2. Disputes will be submitted to the competent court in Amsterdam, unless otherwise agreed or required by law. Parties may resolve disputes through mediation or arbitration under the rules of the Netherlands Arbitration Institute (NAI) or another agreed framework.

10. Changes

Hubstance may amend these Terms at any time. Material changes will be communicated via email, website notice, or other channels at least 14 days before taking effect. The latest version is available on our website.

11. Complaints

Complaints about our intermediary services can be sent to [info@hubstance.eu]. We will respond within 14 days. Complaints about third-party providers must be addressed directly with them.
